1. Acceptance of Terms#

Welcome to IntuScribe! By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms constitute a binding legal agreement between you ("User", "Clinician") and IntuScribe Pty Ltd ("Company", "we", "us").

2. Description of Service#

IntuScribe provides an AI-powered medical scribe service designed to assist healthcare professionals in creating clinical documentation. Disclaimer: The Service is a support tool only. It does NOT practice medicine or provide medical advice. You, the Clinician, retain full professional responsibility for patient care and the verification of all documentation generated by the Service.

3. User Accounts#

To access the Service, you must register for an account. You agree to:

  • Provide accurate and complete registration information.
  • Maintain the confidentiality of your account credentials.
  • Notify us immediately of any unauthorized use of your account.

4. Subscription & Billing#

4.1 Fees

The Service is offered on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis (e.g., monthly or annually).

4.2 Auto-Renewal

Your Subscription will automatically renew at the end of each billing cycle unless you cancel it through your account settings or by contacting us at least 24 hours prior to the renewal date.

4.3 Refunds

Consistent with Australian Consumer Law:

  • We do not offer refunds for "change of mind".
  • If a major service failure occurs (e.g., the Service is permanently unavailable), you may be entitled to a refund for the unused portion of your subscription.

5. Intellectual Property#

  • Our IP: The Service, including its underlying technology, algorithms, and interface, remains the exclusive property of IntuScribe.
  • Your Data: You retain ownership of your Patient Data (Audio and Transcripts). You grant us a limited, worldwide license to process this data solely for the purpose of providing the assembled documentation to you.

6. Confidentiality & Privacy#

We treat your Patient Data with the highest level of confidentiality.

  • We will not disclose Patient Data to third parties except as required by law or to provide the Service (e.g., via our secure cloud processors) as outlined in our Privacy Policy.
  • You agree to obtain all necessary patient consents before using the Service to record consultations.

7. Limitation of Liability#

To the maximum extent permitted by law (including the Competition and Consumer Act 2010 (Cth)):

  • IntuScribe is provided on an "AS IS" and "AS AVAILABLE" basis.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
  • Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us for the Service in the 12 months preceding the claim.

8. Termination#

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

9. Governing Law#

These Terms shall be governed and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Queensland.

10. Changes to Terms#

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
